Building Board Effectiveness

A board that suffers from political tensions, conflicting directions, and the impact of personal agendas overiding that of the company can demotivate both the members of the board and their teams.  In the worst case it can bring a company to its knees. Various authoritative reports have stressed the importance of:

  • clarity of board purpose and activities
  • board members understanding their individual roles and responsibilities, including executives being clear about their roles and responsibilities as corporate directors
  • the quality and quantity of information (particularly financial information) presented to the board, and the ability of board members to understand this information
  • positive working relationships, especially between non-executive and executive directors
  • the degree and nature of challenge at board level, including executives challenging non-executives and other executives;
    clear lines of accountability
  • effective decision-making processes.
