Board members and senior executives are under more pressure than ever before to perform well; with time scales shortened; less tolerance of under-performance; with an aggressive media; and more active shareholders. On top of that, substantive changes are currently taking place to develop greater professionalism in the running of boards. Annual board reviews and appraisals are now with us, and are set to become more onerous and invasive. Previously, a large numbers of boards did not have any proper professional basis for recruitment; they had no proper performance evaluation; the chairman’s performance was hardly ever looked at; and individual board members were hardly ever reviewed.

Programme Objectives

This programme is designed for you, as board directors, and your senior management. This practical consultant-led session examines current best practices of all aspects of corporate governance and their implementation. Directors will be briefed on the new role of board committees and directors' responsibilities and powers. Senior management will learn how to implement governance in their day to day activities, as well as how to assess the governance principles in other companies and institutions.

Included will be an examination of the costs and benefits of best-practice governance and its direct linkage to the benefits to company valuations and share price. Practical guidance will be given on such issues as relationship with shareholders and other stakeholders, and managing and meeting the expectations of the market, international investors, and local governmental and regulatory authorities.

Directors will also be guided on the appointment and performance appraisal of CEOs and the management of other board-level appointments and board committees. The course will discuss the challenges of implementing the best practices of corporate governance in emerging markets, where relevant, and will of course focus on the specific requirements of financial institutions and insurance companies.

Practical 'how to' presentations on formulating and implementing modern international corporate governance principles will be blended with examples drawn from recent international precedents, together with facilitator-led, frank and open discussions.

By the end of this Board Away Day, directors will be able to:


 Understand the current state and direction of best practice in corporate governance in the financial services sector.
 Implement and embed best practices within your organisation/institution.
 Structure board committees and institutional policies and procedures to conform to international requirements and expectations.
 Communicate governance procedures to outside stakeholders including shareholders, governments, and communities.
 Implement governance directives within the management of the institution.
 Analyse the governance of other institutions.
 Analyse the cost, and identify and maximise the financial benefit, from improved corporate governance and procedures within your organisation.
