Directors' Responsibilities Course Outline
The law and the expectations of Directors have developed considerably in the light of statute and as a result of scandals such as Enron. There is pressure to raise standards of corporate governance with an increasingly litigious environment and the Financial Services Authority focusing on the area of Directors' responsibilities in its risk assessment of authorised firms.
This half day briefing is designed for new Directors or those unfamiliar with recent legislation and the development of the Combined Code of Corporate Governance. The event is delivered by an experienced course leader who has held a number of driectorships in major financial institutions and can explain the practical application of the law and compare and contrast different areas of legislation that impact upon individuals.

This briefing is an ideal session to be held at a strategic review or Board planning day or as a refresher during the course of the financial year. It can also be provided tailored to your particular business sector, highlighting legal cases and regulatory enforcements actions in your sphere of activity.
As a result of attending Directors will:
Understand the powers and responsibilities of the individual director
Consider the boardroom context and the guidance provided by the Combined Code
Grasp the Turnbull guidance on the board’s responsibilities for internal controls
The session also provides an opportunity to discuss issues with other board members and develop agreement on how to address them.
Training Approach
This workshop is uses a combination of trainer input, knowledge sharing with interactive syndicate work and case studies
Group size is kept to a maximum of 12 to facilitate sharing of experience amongst the delegates
Course Leader: Bob White
Bob White has over 25 years of experience in the financial services industry. He has an established record as a board level Director with Jardine Matheson and Credit Suisse Asset Management. He was Group Compliance Officer for the TSB Group moving to this position from Director of Compliance at Hill Samual Investment Group. In his early career he was Economist/Assistant Secretary, British Bankers’ Association and joined the TSB Group in a senior business planning role.
His experience allows him to recognise the practical issues that arise for Directors. He is able to recognise what key elements of knowledge Directors' need when taking on this role and where they need to be alert to those responsibilities in the cut and thrust of running a company, responding to change in the business and in the approach of the regulator.
He was member of the IMAM General Regulations Committee and Money Laundering Advisory Group and at the FSA's invitation, was a practitioner member of FSA N2 client money working party. His qualifications include MA in Economics of Money and Finance, a Post Graduate Certificate in Education and a BSc (Hons) Social Sciences.
Course Leader: Phil Ingle
Phil Ingle is a highly qualified training and management consultant who has worked with companies in a wide variety of industries by helping improve their sales and performance through effective management practices. He has delivered programmes at Board level for insurance companies, stockbrokers, a law firm, in addition to programmes in other sectors including renewable energy, the steel industry and the pharmaceutical industry. His work has included a number of international assignments throughout Europe and the US, most notably working in Moscow with the Russian subsidiary of an international logistics company. He also works as an executive coach and his consulting work includes advice on acquisitions.
Phil holds a MBA from Cranfield, is an Associate of the Chartered institute of Bankers, and holds the Financial Planning Certificate. He is also a Master Practitioner of Neuro Linguistic Programming, a member of the Institute of Training and Occupational Learning, the Professional Speakers Association, and the Institute of Directors.
