Course outline and objectives

Any firm that is subject to the Market Abuse Regulation (MAR) is likely to have Persons Discharging Managerial Responsibilities (PDMRs). MAR is a European Union regulation that aims to protect investors from insider trading and market manipulation. It applies to all publicly traded companies in the EU, as well as certain other types of financial institutions.

PDMRs have several obligations under MAR including to identify Persons Closely Associated (PCA) who themselves also have a number of obligations under MAR. The identification of PCAs can be challenging, not least because of the broad definition and variance from one jurisdiction to another.

Aside from the civil and criminal sanctions for non-compliance with MAR, PDMRs who breach MAR may face reputational damage. This can make it difficult for them to find new employment or to raise capital for new ventures.

The objective of this course is to provide attendees with a comprehensive understanding of their firms, PDMRs and PCAs obligations under MAR and how to comply with them. The course will also aim to help attendees identify and manage the risks posed by PCAs and to implement best practices for PDMR compliance.

In addition, we discuss the various requirements under MAR including identification, training and reporting obligations, particularly in light of the FCA's stated focus on PDMRs in its business plan 2023/2024.

By the end of this course you will understand the critical role that PDMRs play in financial markets. How they have access to sensitive information about their companies that could give them an unfair advantage in trading. You will learn that if PDMRs comply with market abuse regulations, PDMRs can help to ensure that financial markets are fair and orderly benefiting everyone, including investors, companies and the broader economy.
